At the end of 2012, there were nearly 450,000 foreign-invested enterprises (FIEs) in China. Approximately 490 of the global Fortune 500 have assets and operations in China, and an increasing number of small and medium enterprises from around the world have set up subsidiaries in China. As a result, an increasing number of M&A deals outside of China now have China-related elements which must be addressed.
Given the nature of corporate structures and regulatory approval requirements in China, managing these issues often requires a disproportionate level of time and attention when compared to the scope of the Chinese assets in the broader deal. Moreover, the timeline for related Chinese government approvals can also directly impact the overall closing schedule for the global M&A deal.
